The Paralegal will provide general corporate governance support for GDIT’s U.S. and non-U.S. subsidiaries, as well as other transactional and administrative support to GDIT’s Legal Department.  This position will report to a Director and Associate General Counsel and will be located at GDIT’s headquarters office in Falls Church, VA.

Principal duties and responsibilities

  • Perform corporate governance tasks for a variety of U.S. and non-U.S. legal subsidiaries of GDIT, including:

    • maintaining and updating subsidiary organizational documents, including articles of incorporation and bylaws, and director and officer rosters;

    • filing annual reports and financial statements;

    • preparing board and shareholder written consents and resolutions, as well as incumbency certificates;

    • maintaining appropriate records, including subsidiary minute books and stock ledgers;

    • coordinating and filing subsidiary secretary of state filings, foreign state/country qualifications and withdrawals;

    • responding to regularly occurring requests for information and documents, including from registered agents in various jurisdictions; and

    • performing other related tasks.

  • Screen all documents for accuracy and completeness prior to facilitating signature by relevant company personnel; prepare memoranda regarding documents requiring signature.

  • Maintain relationships with outside counsel to facilitate foreign entity filings and other foreign subsidiary organizational matters.

  • Facilitate legalization of certain domestic and international documents (including notarizations and apostilles) and arrange for courier services to facilitate signatures as needed.

  • Work with other GDIT departments, including Tax, Treasury and Accounting, as well as outside accounting and audit firms, to handle a variety of matters relating to annual financial statements and reports, tax filings, local tax registrations and bank accounts.

  • Maintain subsidiary database in a timely manner to ensure entity profiles are up-to-date.

  • Collaborate with team members and other functional individuals to support various requests for information.

  • Support other transactional and administrative needs of the GDIT Legal Department as required.

Education and experience

  • Requires a Bachelor’s degree; ABA approved paralegal certificate preferred.

  • Notary Public preferred. 

  • Must be proficient in Microsoft Word, Excel and PowerPoint and Visio. 

  • Must have experience with hCue or similar corporate subsidiary database software. 

  • Must have experience working with CT Corporation (or similar registered agent).

  • At least five years of experience in a law firm or corporate law department.
